You retain ownership of all intellectual property rights in your content and materials. We retain ownership of all intellectual property rights in the Services and any deliverables developed for you, unless otherwise agreed in writing.
Fees and Payment:
Our fees are determined by the type of engagement, project scope, and other factors. We will provide you with a detailed quote before any work begins. Payment terms are specified in the SOW.
Termination:
We may terminate this Agreement or any SOW at any time, with or without cause, upon written notice to you. You may terminate this Agreement or any SOW at any time upon written notice to us. In the event of termination, we will invoice you for any work completed up to the date of termination.
Disclaimer of Warranties:
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
Indemnification:
You agree to indemnify, defend, and hold harmless BrutForce, its officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services.
Governing Law and Dispute Resolution:
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Jacksonville, FL in accordance with the rules of the American Arbitration Association.
Entire Agreement:
These Terms constitute the entire agreement between you and BrutForce with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Severability:
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
Waiver:
No waiver by BrutForce of any breach of any provision of these Terms shall be deemed a waiver of any subsequent breach.
Updates to Terms:
We may update these Terms from time to time by posting a new version on our website. You are responsible for regularly reviewing these Terms. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the new Terms.
